This Client Services Agreement applies to live streaming, video production, broadcast, recording and related services supplied by OXYFIRE MEDIA CREATIVE LTD (“oXyFire”) to the organisation or individual named on the relevant estimate, quotation or order (the “Client”). oXyFire and the Client are together referred to as the “Parties”.

“First Service Date” means the first calendar day on which oXyFire is scheduled to attend site or otherwise deploy crew, equipment or infrastructure to deliver the Services, including event build, rehearsal, installation, testing, the live event or the shoot, as stated in the Order.

These terms must be read with the accepted estimate, quotation or order (the “Order”). If they conflict, the Order prevails in relation to scope, dates and fees.

1. Scope of Services

  1. oXyFire shall provide the live streaming, video production, broadcast, recording or related services described in the Order (the “Services”).
  2. The Services shall be carried out with reasonable skill and care and in accordance with generally accepted industry standards.

2. Formation and acceptance of contract

  1. The Order constitutes an offer by the Client to purchase the Services subject to these terms.
  2. The contract becomes legally binding when the Client accepts the Order and these terms by written email confirmation, electronic acceptance or e-signature, signature of the Order or agreement, or payment of a deposit or invoice issued in connection with the Order.
  3. Acceptance by any of those methods confirms agreement to these terms without amendment or qualification.
  4. These terms and the Order constitute the entire agreement between the Parties and supersede prior discussions, correspondence and representations relating to the Services.

3. Client responsibilities, ownership and control

  1. The Client is the owner, organiser and controller of the event, venue, contributors, content and audience.
  2. The Client is responsible for securing and maintaining all permissions, licences, releases, venue access, connectivity access, power availability and regulatory approvals required for the Services.
  3. The Client warrants that all materials supplied to oXyFire comply with applicable law and do not infringe any third-party rights.
  4. The Client is responsible for health and safety at the venue and for providing a safe working environment for oXyFire personnel.

4. Connectivity, streaming and transmission

  1. Live streaming and transmission depend on third-party infrastructure, including venue networks, public internet services, mobile networks and utilities beyond oXyFire’s direct control.
  2. oXyFire may provide bonded cellular, fixed-line, satellite or hybrid connectivity. These solutions are intended to improve resilience but cannot be guaranteed to be uninterrupted or fault-free.
  3. oXyFire shall design the transmission workflow with appropriate redundancy where reasonably practicable. No live transmission method can be guaranteed to be 100% reliable.
  4. Interruption, degradation or loss of stream caused by factors beyond oXyFire’s reasonable control shall not constitute a breach of the contract.

5. Dates, changes and delays

  1. Dates and delivery schedules are estimates and may be affected by circumstances outside oXyFire’s reasonable control.
  2. A material change to scope, schedule or requirements requested by the Client may result in additional charges and revised timelines, subject to written agreement.

6. Charges and payment

  1. Charges are set out in the Order.
  2. Unless otherwise agreed in writing, 50% of the total contract value is payable in advance to secure the booking.
  3. The balance is payable within 30 days of invoice.
  4. Late payments may accrue interest at 4% above the Bank of England base rate.

7. Cancellation by the Client

  1. If the Client cancels the Services:
    • more than 10 calendar days before the First Service Date: no cancellation fee, but the Client remains liable for work already completed and non-recoverable third-party costs already committed;
    • 10 calendar days or fewer before the First Service Date: 50% of the total contract value;
    • within 72 hours of the First Service Date: 100% of the total contract value.
  2. Completed work may include pre-production planning, technical design, crew booking, equipment preparation, site liaison, testing, rehearsals, documentation and administrative time.
  3. Cancellation charges and charges for completed work are intended to represent a genuine pre-estimate of loss reflecting committed resources, preparation and loss of availability.

8. Suspension or cancellation by oXyFire

  1. oXyFire may suspend or terminate the Services where payment terms are breached, required information or access is not provided, or safe or lawful delivery is not reasonably possible.
  2. In those circumstances, oXyFire shall not be liable for resulting losses and outstanding charges remain payable.

9. Intellectual property

  1. Copyright and intellectual-property rights in recordings, footage, audio, graphics, documents and other materials created by oXyFire remain with oXyFire until all invoices have been paid in full.
  2. After full payment, ownership of the final delivered content expressly defined in the Order passes to the Client, subject to written restrictions agreed by the Parties.
  3. Legal title to physical goods, equipment or media supplied by oXyFire remains with oXyFire until payment in full.
  4. Risk in physical goods supplied passes to the Client on delivery in accordance with applicable UK law.
  5. Working files, systems, methodologies, underlying technology and materials not expressly identified as final deliverables remain the property of oXyFire.

10. Confidentiality and limited promotion

  1. Each Party shall keep commercially sensitive and confidential information obtained in connection with the Services confidential.
  2. oXyFire may refer to non-confidential aspects of the Services for promotional purposes, provided this does not disclose confidential information or breach written restrictions agreed with the Client.

11. Limitation of liability

  1. oXyFire shall not be liable for indirect or consequential loss, including loss of profit, revenue, reputation, audience or anticipated savings.
  2. Subject to clause 11.3, oXyFire’s total liability arising under or in connection with the contract shall not exceed the total fees paid under the Order.
  3. Nothing in these terms limits liability for death or personal injury caused by negligence, fraud or any liability that cannot lawfully be excluded.

12. Force majeure

Neither Party shall be liable for failure or delay caused by events beyond its reasonable control, including network failure, acts of government, industrial action, utility failure or extreme weather.

13. Notices

A notice under the contract must be in writing and may be served by email or pre-paid recorded delivery to the addresses stated in the Order or subsequently notified in writing.

14. Governing law and jurisdiction

  1. The contract is governed by the laws of England and Wales.
  2. The courts of England and Wales have exclusive jurisdiction.

15. Variation and updates

  1. oXyFire may update these terms from time to time. An updated version applies only to new Orders accepted after its effective date.
  2. Updated terms do not apply retrospectively to an accepted Order unless both Parties expressly agree in writing.
  3. The version in force when the Order is accepted applies to that Order.
